2. Scope of These Terms

These Terms & Conditions apply to:

  • Your use of the SoftGlaze website
  • Any communication with SoftGlaze
  • Requests for proposals, quotations, or consultations
  • The purchase or use of SoftGlaze services
  • Any digital deliverables, systems, content, or materials provided by SoftGlaze
  • Any ongoing client relationship, unless superseded by a separate written agreement

Where a separate signed contract, proposal, statement of work, or service agreement exists, that specific agreement will prevail over these general Terms & Conditions to the extent of any conflict.

SoftGlaze provides digital services which may include, but are not limited to:

  • AI-enhanced systems and modern workflows
  • Affiliate and growth marketing

  • Related digital strategy, support, and consulting services

All services are subject to availability, project fit, and written confirmation.

4. Use of Website

You agree to use the SoftGlaze website lawfully and responsibly. You must not:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorised access to any part of the website, server, or related systems
  • Interfere with website security, integrity, or performance
  • Upload malicious software, code, scripts, or harmful materials
  • Copy, scrape, exploit, or misuse website content without permission

We reserve the right to restrict, suspend, or terminate access where misuse is suspected.

5. Proposals, Quotations, and Estimates

Any proposal, quotation, estimate, or project scope provided by SoftGlaze is for informational and contractual discussion purposes only unless expressly accepted and confirmed in writing.

Unless otherwise stated:

  • Proposals may be time-limited
  • Pricing may be subject to revision before formal acceptance
  • Timelines are estimates, not guarantees
  • Scope assumptions are based on information available at the time of issue
  • Additional work outside agreed scope may incur additional fees

No project shall be deemed accepted until confirmed by SoftGlaze in writing.

6. Client Responsibilities

Where you engage SoftGlaze for services, you agree to:

  • Provide accurate and complete information
  • Respond in a timely manner where client feedback or materials are required
  • Supply required content, credentials, approvals, and project assets where relevant
  • Review deliverables within a reasonable timeframe
  • Ensure that materials you provide do not infringe the rights of third parties
  • Comply with payment and communication terms agreed for the project

Delays in client response, approvals, or materials may affect timelines and delivery schedules.

7. Fees and Payment

Fees for services will be set out in a proposal, quotation, invoice, or separate written agreement.

Unless otherwise agreed in writing:

  • Invoices must be paid by the stated due date
  • Deposits may be required before work begins
  • Milestone payments may apply
  • Final files, transfers, deployment, or ownership transfer may be withheld until full payment is received
  • Late payments may result in project delays, suspension of services, or additional charges where legally permissible

All fees are exclusive of taxes unless expressly stated otherwise.

The client is responsible for any applicable taxes, duties, or charges required by law.

8. Changes in Scope

Projects often evolve. Where the client requests work outside the original agreed scope, SoftGlaze reserves the right to:

  • Revise timelines
  • Issue a new quotation
  • Charge additional fees
  • Adjust deliverables or project phases

No additional work is required to be undertaken until such variation is acknowledged or approved.

9. Intellectual Property

Unless otherwise agreed in writing:

SoftGlaze Materials

All pre-existing SoftGlaze materials, processes, frameworks, code libraries, methods, templates, know-how, designs, and internal systems remain the intellectual property of SoftGlaze.

Client Materials

The client retains ownership of pre-existing materials supplied by the client, including trademarks, branding, content, images, and business data, provided such ownership lawfully exists.

Project Deliverables

Ownership of final agreed deliverables may transfer to the client only upon:

  • Full payment of all relevant fees
  • Compliance with the project agreement
  • And subject to any exclusions expressly stated in writing

SoftGlaze retains the right to reuse general knowledge, non-confidential methods, technical know-how, frameworks, and skills developed during the course of a project.

10. Portfolio and Promotional Rights

Unless otherwise agreed in writing, SoftGlaze may display completed or publicly available work in its portfolio, case studies, sales materials, presentations, proposals, social channels, and website for promotional purposes.

Where confidentiality applies, we will respect any written confidentiality restrictions agreed in advance.

11. Third-Party Tools, Platforms, and Services

SoftGlaze may work with or build on third-party platforms, services, software, APIs, themes, hosting environments, plugins, tools, or infrastructure, including but not limited to WordPress, Shopify, analytics systems, CRM tools, and advertising platforms.

SoftGlaze is not responsible for:

  • Outages or failures of third-party services
  • Policy changes by third-party providers
  • Security issues caused by third-party platforms
  • Changes in pricing, features, or terms imposed by third-party services
  • Compatibility issues caused by external provider changes after project delivery

Clients may be subject to separate terms from such third parties.

12. Content, Data, and Accuracy

Any content, recommendations, strategies, or materials provided by SoftGlaze are based on information available at the time and are provided in good faith.

The client is responsible for:

  • Reviewing final content and deliverables
  • Ensuring factual accuracy where client data is involved
  • Confirming legal compliance for industry-specific claims or regulated content
  • Obtaining legal, financial, or regulatory advice where required

SoftGlaze does not provide legal, tax, investment, medical, or regulatory advice unless explicitly agreed in writing and lawfully qualified to do so.

13. No Guaranteed Results

While SoftGlaze aims to deliver high-quality, commercially intelligent work, we do not guarantee:

  • Specific rankings in search engines
  • Specific traffic outcomes
  • Specific sales, leads, or conversion figures
  • Uninterrupted website or service availability
  • Specific revenue growth
  • Any result dependent on third-party platforms, market conditions, user behaviour, or factors outside our control

Any projections, examples, forecasts, or strategic opinions are illustrative and not guaranteed outcomes.

14. Confidentiality

SoftGlaze will use reasonable care to protect confidential information shared in connection with a project and expects the same from clients.

Confidential information does not include information that:

  • Is public through no breach of confidentiality
  • Was lawfully known before disclosure
  • Is independently developed without misuse of confidential information
  • Must be disclosed by law, court order, or regulatory obligation

Where a separate NDA or confidentiality agreement exists, that agreement will govern.

15. Warranties and Disclaimers

SoftGlaze provides its website and services on an "as is" and "as available" basis, except where otherwise expressly stated in writing.

To the fullest extent permitted by law, SoftGlaze disclaims all implied warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted availability
  • Error-free performance

We do not warrant that:

  • The website will always be available
  • The website will be secure from all threats
  • Deliverables will be compatible with all third-party systems unless expressly agreed
  • Services will be free of delays caused by dependencies outside our control

16. Limitation of Liability

To the fullest extent permitted by law, SoftGlaze shall not be liable for:

  • Incidental damages
  • Special damages
  • Consequential damages
  • Loss of profits
  • Loss of revenue
  • Loss of data
  • Loss of business opportunity
  • Loss of goodwill
  • Business interruption
  • Any damages arising from third-party systems or external dependencies

Where liability cannot be excluded, SoftGlaze's total liability shall be limited to the amount actually paid by the client to SoftGlaze for the specific service giving rise to the claim, unless otherwise required by law.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Indemnity

You agree to indemnify, defend, and hold harmless SoftGlaze, its directors, officers, employees, contractors, affiliates, and representatives from and against claims, losses, liabilities, costs, and expenses arising out of:

  • Your misuse of the website
  • Your breach of these Terms
  • Your violation of any law or third-party right
  • Materials or data supplied by you
  • Unauthorised or unlawful use of deliverables after handover

18. Suspension and Termination

SoftGlaze may suspend or terminate access to services, websites, systems, or project activity where:

  • Payment is overdue
  • Misuse is suspected
  • Cooperation materially breaks down
  • Required information or approvals are not provided
  • Legal or regulatory concerns arise
  • Continuation is not commercially or operationally viable

Either party may also terminate a project in accordance with the terms of the specific project agreement.

Termination does not remove the obligation to pay for work already completed or costs already incurred.

19. Privacy

Your use of our website and services is also governed by our Privacy Policy. By using our website or services, you acknowledge that your personal data may be processed in accordance with that policy.

20. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable to the contracting SoftGlaze entity, unless otherwise stated in a separate written agreement.

Where no specific entity is identified in a signed contract, SoftGlaze reserves the right to specify the governing entity and applicable jurisdiction based on the commercial relationship, invoicing entity, or project origin.

Any disputes shall be subject to the courts or dispute forums applicable to the relevant contracting entity, unless otherwise agreed in writing.

21. Changes to These Terms

SoftGlaze may update these Terms & Conditions from time to time to reflect changes in:

  • Business operations
  • Service structure
  • Legal requirements
  • Technology
  • Website functionality

Updated terms will be posted on this page with a revised effective date or last updated date. Continued use of the website or services after such updates may constitute acceptance of the revised terms.
